摘　　要：本文对我国上市公司实施独立董事制度的目的进行了反思,对于实际运行的独立董事制度存在的障碍进行了透视。在此基础上,本文提出要有效实施独立董事制度,必须从组织经济学角度考虑相关制度改革;从管理学和组织行为学角度考虑进行组织行为改造;从民商法学角度考虑修改《公司法》、《证券法》,制定一系列配套法律条文进行规制,才能保证独立董事制度这一制度安排的有效性。This article has three parts.In the first part we argue the objective in the accomplishment of independent director system in China.In the second part we analysis six obstacles in the creation of the independent director system in China.In the third part,we show that to accomplish the independent director system effectively,It's necessary to have reform in concerned systems from the angle of economics,to do something like restructuring in organization behavior from the point of management,and to have a revision on company law and securities law from legal studies.A thorough and complete legal framework will do some good to help the promotion of system arrangement in effectiveness.
