摘  要:企业作为包括多种契约关系的治理结构,其社会责任和公司治理框架处于不断的扩展中,日益广泛的利益相关者和社会规范在公司治理中具有重要的影响。但是,由于利益相关者的分散性以及社会规范影响的不可量化,它们对公司治理的影响途径和结果缺乏系统的研究。近年来,广泛的利益相关集团通过利用煤体产生的公众压力,对公司治理施加了有效的影响,同时,媒体的导向也代表了公认的社会规范的价值取向,媒体作为信息传递的工具,通过对信息的汇总和传播,使广泛的利益相关集团对公司治理的影响得以实现和增强,社会规范对公司治理的影响作用也得以更充分的表现。本文通过对已有文献的回顾,从理论和实证上系统论述了媒体影响公司治理的途径和方向,其中的结论对提升我国公司治理水平有重要的启发意义。As an administring strueture including many contracting relatiions, an enterprise's social responsi- bility and company administering framework is in constant expansion and the extensive benefit - related parties & social norms play an important role in administering a company. However, because benefit related parties are scat- tered and social norm influence is hard to quantify, their ways to influence company administration and the results are short of systematic studies. In recent years, extensive benefit - related groups, by making use of the public pressure produced by media, exert effective influence on company administration. Meanwhile, medium direction al- so represents the generally recognized social norms and value orientation. Media as tools passing out information and through gathering and spreading information, enable benefit - related groups to realize and intensify their influence on company administration. The influence of social norms for company administration is more fully felt. By revie- wing existing literature, this paper in theory and practice systematically expounds the ways and direction of a medi- um influencing compary administration and the conclusion obtained from it is of important enlightening sygnificance for raising the level of company administration in our country.
