合同联立的效力关联性类案分析——以125份商品房预售合同纠纷为例

摘  要:本文针对当前我国联立合同效力关联性的缺失,以125份涉及商品房预售合同纠纷的案件为例,探讨了合同联立效力关联性的正当性基础与司法认定标准。存在效力关联的各个联立合同取决于联立合同在经济上的统一性。与《民法典》合同编中规定的主从合同模式相比,效力的直接关联模式更为合理。在联立合同中,如果部分合同因其他合同效力被终结而丧失效力,则可以提出不当得利返还请求权。而对于多方当事人间的合同联立,可以通过约定排除效力关联的效果。本文对合同联立效力关联性的司法认定标准进行分析,希望能够加强我国合同法的相关规定,完善和优化合同联立的效力关联制度,从而更好地保护各方当事人的合法权益。In view of the lack of the validity relevance of linked contracts in China, this article discusses the justification basis and judicial recognition criteria for the validity of linked contracts, taking 125 cases involving disputes over pre-sale contracts of commercial properties as examples. The existence of linked contracts depends on the economic unity of the linked contracts. Compared with the master-slave contract model stipulated in the Civil Code, the direct linkage model of effectiveness is more reasonable. In a linked contract, if part of the contract loses its validity due to the termination of the validity of the other contract, a claim for the return of unjust enrichment can be made. In the case of a joint contract between multiple parties, the effect of the association of validity can be excluded by agreement. This article analyzes the criteria for judicial determination of the validity of linked contracts, hoping to strengthen the relevant provisions of China’s contract law, improve and optimize the system of validity of linked contracts, so as to better protect the legitimate rights and interests of the parties.
