摘 要:许多研究认为契约治理是关系治理的替代性治理机制,现实中两者的共存关系却往往被忽视了。本文根据职业经理人是否拥有企业组织权力(职业经理人担任企业总裁或总经理)和是否获取企业实质控制权力(职业经理人负责企业日常运营)两个维度,建构了职业经理人对企业控制权的类型学。从这个类型学出发,研究职业经理人与家族化治理之间的关系。通过使用中国私营企业调查(CPES)的数据,发现职业经理人的治理地位影响着企业家族化治理的程度。企业引入职业经理人可以降低家族化治理;但是在职业经理人强控制的企业,反而增强了家族化治理,这是由于缺乏有效的外界制度约束,企业主通过加大家族化涉入以逆向约束代理风险。在中国私营企业面临“接班潮”的今天,这一发现有助于我们认识企业治理结构的复杂性,为如何更好地发挥职业经理人的作用提供了微观的注脚。Many studies believe that contractual governance is an alternative governance mechanism of relational governance,but the coexistence of the two is often neglected in reality.Based on the two dimensions of whether professional managers possess organizational power(professional managers act as president or CEO)and whether they acquire substantive control power(professional managers are responsible for the daily operation of enterprises),this paper constructs a typology of professional managers’control over enterprises.According to this typology,this paper studies the relationship between professional managers and family governance.By using the data of China Private Enterprise Survey(CPES),we find that the governance status of professional managers affects the degree of family governance,The introduction of professional managers in enterprises can reduce family governance,but when professional managers have strong control over enterprises,family governance will be strengthened.This is due to the lack of effective external institutional constraints.Business owners restrain agency risk by increasing family involvement.Today,private enterprises in China are facing the“succession tide”,this discovery helps us to understand the complexity of corporate governance structure,and provides micro-footnotes for how to better play the role of professional managers.
