摘　　要：契约的不完备性激励了交易主体的机会主义行为的动机,而资产专用性带来的可占用准租使这种机会主义行为由可能变为现实,文章指出可占用性准租约束条件下,为有效避免机会主义行为,显性的市场契约约束与隐性的契约约束两者不可或缺。双边专用资产投资是显性市场契约约束的有效尝试,而声誉、社会资本嵌入的隐性契约机制是环境变化加快、交易复杂性程度提高的条件下降低机会主义的社会机制的基础。Incomplete Contract encourages motivation of opportunistic behavior of the transaction subjects,and appropriable quasi-rents make it into reality.This article points out that under the constraint of appropriable quasi-rents,both the explicit contract and the implicit contract are indispensable to prevent opportunistic behavior effectively.Bilateral private equity investment is an effective attempt to establish the explicit contractual constraints,while the implicit contract mechanism of reputation and the s...
