摘　　要：独立董事制度是现代公司制度中的重要组成部分,其运行有效性程度直接关系到公司治理的质量。因此,也一直是学术界与实业界对公司治理关注的焦点问题之一。本文从分析独立董事制度的困境和独立董事的功能定位入手,提出了"第三方法人"独立董事制度,以法人取代自然人,建立"法人-法人"的法人间关系模式,打破个人与法人之间关系中的不均衡博弈,用新的制度安排实现独立董事的理性制衡,达到独立董事的理性之路。This paper probes a system in the perspective of the rational way to find the answer to how to make the independent directors profitable and adventurous, and at the same time dare not to act fearlessly. Based on this system, this paper points out the 'third -arty corporation' system, replacing the 'natural person' with 'corporation', and establishes the 'corporation-corporation' mode. This new institutional arrangement breaks the unbalanced game between individual and corporation, and realizes the rational balance of independent directors.
