摘　　要：随着董事会中心主义的扩张，凸现监事会的价值功能显得尤其必要。只有建立和完善监事会　的内部构架，强化对监事的约束，才能使监事会承载有效监督的重负。With the enlargement of the board-centerism,it is of particular importance to emphasize the function of the supervisory committee. Only by setti ng up and perfecting the inner structure of the supervisory committee,and streng thening the constraint on the supervisor,could the supervisory committee assume the vital responsibility of the effective supervision.
