摘　　要：十五届四中全会通过的《中共中央关于加强国有企业改革和发展若干重大问题的决定》明确指出:要建立和健全国有企业经营管理者的激励和约束机制。本文就国有股份制企业经营管理者监督约束机制进行一些探讨。“The Decision on Issues Related to the Reforms and Development in State - owned Enterprises” passed by 4th Plenary Session of the 15th Conference of the Communist Party of China points out clearly： Incentive and restraint mechanism to Entrepreneur of state- owned enterprise should be set up and perfeeted. This text carries on some discussions on administrator＇ s supervision and restraint mechanism of state - owned share - issuing enterprise.
