摘　　要：企业是物质资本产权与人力资本产权交易的一个契约。物质资本产权与人力资本产权交易的特点是交易权利不平等、交易风险不对称和交易多次进行;物质资本产权交易的权能是占有权、使用权和处置权,人力资本产权交易的权能是法权使用权和法权处置权;物质资本产权与人力资本产权交易的费用有信息费用、交易过程费用、再交易费用和交易后费用。The enterprise is an agreement of the transactions of material capital property right and property right of manpower capital. So if further investigation of the transactions of material capital property right and property right of manpower capital, it can both advance the development of property right economics and optimize the arrangement of enterprises＇ ownership. The characteristics of the transactions of material capital property right and property right of manpower capital are that trade rights are unequal, the trade risk is asymmetric, and the trade goes on many times. The powers and functions of the transactions of material capital property right include possession, right to use, and right of handling. The powers and functions of the transactions of property right of manpower capital include the right to use legal right and the right to use legal handling right, The expenses of.the transactions of material capital property right and property right of manpower capital include the expenses of information, process of trade, trade repetition, and after-trade expenses.
