摘 要:企业剩余权的分布方式是企业理论研究的出发点,也是当前经济学界争论的一个热点。本文梳理并评述了国内外文献中关于企业剩余权分布形态的多种观点,指出剩余索取权和剩余控制权集中对称分布于非人力资本所有者的“主流观点”只是众多企业理论中的一个而已,20世纪90年代以后发展起来的利益相关者理论对两权分布方式的解释更贴近企业的现实,正日益受到经济学界的关注。The distribution of enterprise residual rights is a starting point for firm theory research as well as a focus in the economics. The paper makes a literature review on the distribution of enterprise residual rights and points out that the "mainstream view" , that is, residual claims and residual rights of control should belong to non-human capital owner symmetrically, is only one viewpoint among numerous firm theories. In contrast, stakeholder theory, which has developed since 1990s, presents an impressive and more realistic explanation on the distribution of enterprise residual rights, therefore it has been attracting more and more attention of the economists.
