摘　　要：本文从公司经理的概念出发,研究公司经理的法律地位,并通过对公司经理权力义务的分析来阐释股票激励机制设置之必要性,并对股票激励机制的准则进行了有效说明,提出了实施股票激励计划应注意的几个问题,以此来达到完善公司经理制度之目的。Through studying the notion of the corporation manager, the thesis studies the basis of the corporation managers who have the authority and duty and necessity of founding the system of executive stock option, in addition to this, it analysis the principle and puts forward problems on which we focus and makes corporation manager system better.
