摘　　要：股东派生诉讼作为股东诉讼方式的一种类型,在公司权力结构中对完善公司治理有着独特的监督功能。股东派生诉讼的胜诉对公司治理结构各层面的完善,乃至公司内部的人力资本价值增贬有着深刻的影响。The shareholder＇s derivative litigation is a type of shareholder＇s suits. The shareholder＇s derivative litigation has the unique supervisory function to perfecting corporate governance in the corporate structure of power. Winning suit in the shareholder＇s derivative litigation has a great influence on perfection of the corporate governance structure, even human capital value.
