摘 要:信息技术(IT)治理是公司治理的一部分。提出了投资者应从公司治理和制度设计的层面把握IT治理,正视投资者与管理者的利益不相同问题,从而为企业的IT建设提供根本制度保障。IT治理是激励制度、约束制度、决策制度和评价制度的总和,4种制度相互协同、共同作用,其核心是激励制度。Information Technology (IT) governance is one part of corporate governance. As a related part of the enterprise's benefit centering on the shareholders, it was designed to work out the asymmetric information problem in decision - making in order to maximize IT revenue, It involves the motivation, constrain and evaluation system related to IT. The concept that investors should comprehend IT governance from perspective of corporate governance and system design was proposed. The dissimilar interests between investors and managers were addressed to provide fundamental protection for IT construction. IT Governance is the combined system of motivation, constraints evaluation and decision - making system. The different systems mutually coordinate and interact with each other. The core of IT governance is incentive system.
