摘　　要：基于制度基础观的视角,提出以国家政策法规、地方政府行为和制度认知层面三要素的动因模型,来解释民营企业的这种战略选择。During the transition period,what kind of motive has pushed private enterprises in China to choose diversified mergers and acquisitions to gain expansion of scale and economic effectiveness？ In this paper,based on the perspective of the institution,we put forward that national policies and regulations,local government behavior and cognitive dimensions of the institution are the three elements to form a conceptual model to explain this strategic choice of private enterprises.
