摘  要:河北大午集团因其创始人孙大午首创的"家族企业立宪制"引起了媒体的极大关注。这套迄今为止中国独一无二的制度使该集团成功跨越死亡谷,成长为"中国最具生命力百强企业"。该制度环环相扣、相互制约,在实践中不断完善,实现兼顾各方利益,调动各方积极性,能保障企业健康、稳定、持续地发展下去。然而,刚被民主选举进入董事会的饲料公司经理却认为自己的待遇太低;此外,孙大午推举的两位候选人均获董事会全票通过一事,也使一些到场专家和记者产生了疑义。面对新的挑战,正准备功成身退的孙大午不由得陷入了深思。本案例在介绍该集团发展历程的基础上,重点描述了"立宪制"的起源与诞生、结构与内容以及实施情况,最后指出了该制度面临的挑战。The 'Family Business Constitution' created by Dawu Group's founder Mr.Sun Dawu has been attracting media's great attention.It is the only family business constitution in China that carried this company successfully across its corporate chasm.The Group has been honored as one of 'China's 100 Most Dynamic Enterprises' for many times.This system,as planned by Sun,should be geared one another tightly,mutual restrained,and constantly improved in practice.And taking all aspects into consideration and motivating all the staff,it would have his family business running on a prosperous track.Yet one of the newly elected board managers thought that his salary was too low.Some invited experts and journalists expressed their doubts about the whole board members' unanimous consent of the two candidates nominated by Sun Dawu.Facing the unexpected internal emerging problem and external question,Mr.Sun couldn't help pondering over it Constitution.Based on a brief introduction of the company's history and development processes,this case focuses on the Constitution's origination,structure,contents,implementation,and future challenges.
