摘　　要：高校校办企业的公司治理问题在于通过改制建立现代企业制度,然而当前高校校企在实施改制中,其公司治理模式依然面临着诸如产权结构、委托代理结构、股权结构、约束激励机制等问题,本文基于现代企业制度的要求,拟提出解决校办企业在公司治理中面临的问题。The corporate governance issues of university-run enterprises lies in the establishment of a modern enterprise system through the reform.But in the current implementation of the reform for university-run enterprises,the company governance mode still faces issues,such as,ownership structure,principal-agent structure,ownership structure,constraints and incentive mechanism,and so on.This article is based on the requirements of the modern enterprise system,and intends to solve problems in corporate governance of school-run enterprise.
