摘　　要：从机会主义、知识溢出和知识产权三个角度分析了企业间合作创新治理困境。与网络治理相比较,系统分析了合作创新知识治理的必要性。从治理模式、治理机制和治理绩效三方面综述了知识治理相关文献,同时对知识治理的未来研究进行展望。Governance dilemma of cooperative innovation between enterprises is discussed from three aspects of opportunism, knowledge spillovers and intellectual property. Compared with network govemance, the necessity of knowledge governance is analyzed. Meantime, the related literatures are reviewed from three areas of governance mode, gover- nance mechanisms and governance performance. Finally, the future work was pointed out based on the paper
