摘　　要：2011年的"国美"控制权纠纷被认为是"董事会中心主义"危机的标志案例,它引发了许多我们对于公司治理完善的思考,本文以"国美"控制权竞争一案为视角来对"董事会中心主义"进行解读。通过对"董事会中心主义"理论的形成及价值深入的分析和探讨,以及"国美之争"背后所反映出"董事会中心主义"危机进行完整剖析,找出具体的解决路径,促进这种公司治理模式的完善。The case of Gome control fights dispute is considered to be the flag case of ＂Board centfism＂, so this paper discusses on ＂Board centrism＂ from the perspective of corporate governance structure, does a deep analysis from the formation and value on the theory of ＂Board centrism＂, and then has a complete analysis on ＂Board centrism＂ crisis combining with ＂Gome control fights dispute＂. Basing on the drawbacks of the Board ＇ s rights expansion, a specific solution path is found out to improve corporate governance.
