摘 要:从中国公司的视角出发,用案例研究的方法探索中国企业中联重科并购意大利企业CIFA过程中的文化整合模式。中国企业并购西方企业存在逆势文化整合情境,并且与西方主流的"文化征服"模式不同,中国企业跨国并购文化整合模式类似于"求偶结婚生子"模式:"求偶"阶段包括中外企业并购之前互相了解和确立相互需求;"结婚"阶段是指确定双方企业文化的优质部分,形成新的企业文化的文字范本;"生子"阶段则是形成规章制度,落地新企业文化文字范本。From the Chinese buyer' s perspective, this article explored the cultural integrative model of cross-border M&As based on the case study of Zoomlion acquiring CIFA. It found that there was a counter-trend in the integration of corporate culture when Chinese enterprises acquired Western ones. And in contrast to Western model of cultural conquest, the cultural integrative model of Chinese enterprises' cross-border M&As was analogous to the model of "courtship, marriage and birth". "Courtship" meant that Chinese and Western enterprises got acquainted with each other and identified mutual need before acquisition. "Marriage" was that the two parties ascertained the superior parts of both corporate cuhures and wrote the script of new corporate culture. "Birth" meant that the two parties put the new corporate culture into practice by rules and regulations.
