摘  要:创业团队成员在人力资本初始禀赋和发展上都存在着一定的差异,常常出现激励不到位的情况,因而很难做到"好聚、好处和好散"。创业团队治理旨在采用一套合适的激励与控制机制,界定和协调团队成员间的互动合作关系,以保证创业决策的科学性、有效性,从而实现成功创业,在最大化团队整体收益的基础上最大化团队成员的个人收益。在创业团队组建阶段,团队人力资本未经证实,创业团队治理更倚重于关系治理;在创业团队发展阶段,团队人力资本逐步得到证实,随着新创企业成长,关系治理手段逐步减弱,契约治理手段逐步增强;在创业团队解体阶段,团队人力资本基本得到证实,创业团队治理更倚重于契约治理。Entrepreneurial team member have often not been motivated appropriately because of their different individual endowment and human capital development, which sooner or later results in cooperation difficulty or even disintegration. Entrepreneurial team governance is a mechanism of motivation and control, which defines the cooperation of team members to make assurance of entrepreneurial decisionmaking for maximizing the benefit of the team and its members. At the stage of entrepreneurial team formation, the entrepreneurial human capital has not been verified, relational governance is mainly adopted. At the stagy of entrepreneurial team development, the entrepreneurial human capital has been verified gradually, contractual governance is relied more than relational governance. At the stage of entrepreneurial team disintegration, the entrepreneurial human capital has been verified, therefore, contractual governance is mainly adopted.
