摘　　要：本文首先分析了债转股作为解决国企和商业银行双脱困的一种途径 ,对企业、银行及金融资产管理公司所产生的影响 ,并提出了企业、银行及金融资产管理公司有关债转股的运作设想 。This article analyzes that transferring debt to equity is considered as an approach to get rid of the dilemma in both of the state owned enterprises and the Industrial & Commercial Banks. It also analyzes the infuence on enterprises, banks and companies of financial capital management. The article continues to talk about the tentative plan on how to transfer debt to equity. And at last it puts forward several questions that we need to pay attention to while we actualize the transferring debt to equity.
