摘　　要：高新技术企业人力资本特点、发展阶段和激励对象决定了上市和非上市高新技术企业人力资本股权化模式应分别选择股票期权制和虚拟股票制。对于上市高新技术企业股票期权制的实现,要明确负责人、有效期、行权价和期权数量。对于非上市高新技术企业虚拟股票制的实现,则要设立和提取基金、确定内部市场价格、授予股票、行驶期权和管理期权。The human capital characteristics, development stage and incentive objective of high-tech enterprise determine the listed and unlisted high-tech enterprise＇s human capital capitalization stock right mode should choose the stock option system and the virtual stock system respectively. The stock option system for the listed high-tech enterprise includes the beneficiary, the price validity, the validity and the quantity of stock options. The virtual stock option system for unlisted high-tech enterprise includes established and extracted funds, determining internal market price, awarded shares, stock right management.
