摘　　要：事业组织获得真正意义上的法律人格是我国事业单位改革的目的之一。公立高校作为履行公共服务职责的事业组织之一,明确其公法人地位以及构建合理的法人内部治理机制,对于建立现代大学制度具有十分重要的意义。在这方面,法国公务法人制度、公司等私法人治理结构中的内部权责分配与监督制约机制提供了制度借鉴。the enterprise organization with the legal personality in the true sense is one of the purpose of institution reform in our country. Public colleges and universities,as one of the public service responsibilities of enterprise organization,clarify its law status and build a reasonable corporate internal governance mechanism is of great significance for establishing modern university system. In this regard,the French public legal person system,corporate governance structure of private law,such as person＇s internal distribution of power and responsibility and the system of supervision and restriction mechanism has provided reference.
