论出卖他人之物的合同效力与买受人权利救济  

On Effectiveness of Unauthorized Sale of Someone's Property Through Contract and Relief for the Vendee's Rights

摘　　要：《合同法》第52条所列合同无效事由若仅侵犯私人权益,则宜理解为相对无效,其中"恶意串通"包含明示和默认两种方式。出卖他人之物所涉合同的效力理应与出卖行为能否引起买卖标的物所有权变动相区分,《买卖合同解释》第3条可谓根据《物权法》第15条而对《合同法》第51条所作的补正解释。但在买受人知情时,标的物所有权人有权以无权出卖人与买受人之间恶意串通为由主张合同无效。《买卖合同解释》第3条中出卖人的违约责任本质上属于权利瑕疵担保责任,根据《合同法》第151条,以买受人善意为适用前提。Invalidating circumstances of contract in Article 52 of Contract Law of the People＇ s Republic of China stipulate that harming the interests of any third party can be interpreted as relative invalidity of contract, of which ＂collusion in bad faith＂ includes express and implied means. The effectiveness of contract involving unauthor- ized sale of someone＇ s property should be distinguished from the fact whether the sale action can cause the trans- fer of ownership of the subject matter. Article 3 in Interpretation of the Supreme People＇ s Court on Issues Concern- ing the Application of Law for the Trial of Cases of Disputes over Sales Contracts is actually the complementary in- terpretation for Article 51 in Contract Law of the People＇s Republic of China according to Article 15 in Property Law of the People＇s Republic of China. But when the vendee knows the facts of a case, the owner who has the ownership of subject matter has the right to claim the invalidity of contract with the denial of right of collusion in bad faith between the vender and vendee as evidence. According to Article 3 in Interpretation of the Supreme People＇ s Court on Issues Concerning the Application of Law for the Trial of Cases of Disputes over Sales Contracts, the vender＇ s responsibility for breach of contract in essence belongs to the warranty against defects of right, which premises its application on the good will of the vendee on the basis of Article 151 in Contract Law of the People＇ s Republic of China.
