证券市场场外配资监管制度研究

摘　　要：场外配资对证券市场的暴涨与暴跌起着推波助澜的作用,为建设稳定健康的证券市场,必须让其阳光化运作,并强化监管。场外配资的监管可依靠证券业分业经营体制下的券商端口,让证券经纪商审核场外配资的相关信息,管控其运作,并参与收益的分配。证券业协会宜制定《场外配资业务操作指引》指导券商的场外配资业务。证监会宜根据证券市场的运行情况进行相机决策,使场外配资在证券市场的不同运行阶段得到合宜的管控。我国《证券法》应该对场外配资这一民间融资交易做出相应规定,使场外配资业务的运作与监管有法可依。OTC financing would aceelerate the stock market skyrocketing and slump, For the construction of a stable and healthy stock market, It must operate openly, And strengthen supervision. The OTC financing supervision can rely on the broker port be- cause of the sub - sector management system of finance industry, Let securities broker audit information about OTC financing, manage and control their operations and to participate in distribution of income. SAC should develop ＂OTC financing Operational Guidelines＂ to instruct operations of OTC financing business. The China Securities Regulatory Commission （CSRC） should make decisions based on the operation of the securities market, Let OTC financing to get decent control at different stages of the securi- ties market running. China＇s ＂Securities Act＂ should be clearly defined OTC financing how to participate in the stock marke, Make the operation and supervision of OTC financing have laws to follow.
