摘 要:公立高等学校的法人治理改革近年来在中国取得了飞速发展,不仅包括教学和课堂模式的创新,也有管理和评价体系的与时俱进,但大部分公立高校的章程对其董事的选任和罢免程序没有明确的规定。目前在中国公立高校董事的选任中"名人化""兼职化""行政化"等现象严重,而且人员结构较为单一,因此建立和完善公立高校董事选任制度将势在必行,尤其应在公立高校的董事会章程中明确董事的任免资格,将董事任免的决定权交还高校。The corporate governance reform of the public colleges and universities in China has achieved rapid development in recent years, including not only the innovation of teaching approaches and classroom models, but also the advancement of the management and evaluation system with times. However, there are no obvious stipulations for the procedure of the directors’ appointment and dismissal in the charter of most Chinese public colleges and universities. At present, in Chinese public colleges and universities, the phenomenons of “celebrity”,“part-time” and “administerization” is serious in the selection of directors and also the personnel structure is relatively simple. Therefore, it is imperative to establish and improve the selection and appointment system for the directors in Chinese public colleges and universities. In particular, the directors’ appointment and dismissal qualifications of Chinese public colleges and universities should be clarified in the charter of the board of directors. The decision-making power of directors should be returned to the colleges and universities.
