论我国公办高等院校公务法人的定性  

On the Nature of Official Legal Person in Public Institutions of Higher Learning in China

摘　　要：“田永案”依据法律法规授权理论明确了高校行政主体性质,随着司法审查范围的扩大化,意味着行政权不断扩张,引发与高校民事法人化内部张力的悖论。悖论实质是因人为地割裂了公法人与行政主体理论的关联,导致高校法人性质被局限于民事领域造成的。民法作为一种私法一般不会涉及公法人的权力义务。公法人需立足于公法领域,通过公法原理来解答。高校法人化是一种公法人化,以实现高校组织最佳化与行政权行使方式契约化。鉴于传统法律法规授权理论的弊端,高校主体理论也应发生学理切换:从传统“授权组织”到公共行政下的“公共组织”,以相对独立的公务法人地位来满足现代大学治理与建设要求。“Tian Yong Case”clarifies the nature of administrative subject in colleges and universities according to the theory of authorization of laws and regulations.With the expansion of the scope of judicial review,it means that the administrative power is constantly expanding,which leads to a paradox with the internal tension of civil corporatization in colleges and universities.The essence of the paradox is that the relationship between the public law person and the administrative subject theory is artificially separated,resulting in the nature of legal person in colleges and universities limited to the civil field.As a kind of private law,civil law should not be involved in the power and obligation of public legal person.The public law person should be based on the field of public law and be answered through the principle of public law.The corporatization of colleges and universities is a kind of humanization of public law to realize the optimization of university organization and the contract of administrative power.In view of the drawbacks of the traditional theory of authorization of laws and regulations,the subject theory of colleges and universities should also be changed:from the traditional“authorized organization”to the“public organization”under public administration,to meet the requirements of modern university governance and construction with relatively independent official legal person status.
