论《民法典》视域下不影响租赁合同效力的所有权变动  

On the Change of Ownership that Does Not Affect the Effectiveness of Lease Contract from the Perspective of the Civil Code

摘　　要：为明确我国《民法典》合同编第725条规定的不影响租赁合同效力的所有权变动的涵义及适用范围,应从法的解释层面,对“所有权变动”作类型划分。基于法律行为发生的所有权变动属于不影响租赁合同效力的所有权变动,而非基于法律行为发生的所有权变动中,因征收、征用、事实行为发生的所有权变动可以否定租赁关系的存在,因继承、企业破产强制拍卖发生租赁物所有权变动不影响租赁合同效力。第三人原始取得租赁物所有权的属于该条规定之情形,但应以第三人非占有标的物为前提,且不属于以保障公共利益为目的之所有权原始取得的类型。租赁物为不动产的善意取得所有权不影响租赁合同效力,当且仅当作为出租人的无处分权人以指示交付的方式转让动产所有权时方有对该条文的适用。应分别讨论不同动产交付方式下的动产所有权变动,并结合标的物占有状态综合分析。In order to clarify the meaning and scope of application of the change of ownership that does not affect the effectiveness of the lease contract stipulated in article 725 of the contract part of The Civil Code of the People’s Republic of China,we should classify“change of ownership”from the interpretation level of law.The change of ownership based on le-gal act belongs to the change of ownership that does not affect the effectiveness of the lease contract.In the change of own-ership based on non legal act,the change of ownership due to expropriation,expropriation and factual act can resist the lease right,and the change of ownership due to inheritance and forced auction of enterprise bankruptcy does not affect the effectiveness of the lease contract.The original acquisition of the ownership of the leased property by a third party belongs to the circumstances specified in this article,but it shall be based on the premise that the third party does not possess the sub-ject matter,and it does not belong to the type of original acquisition of ownership for the purpose of safeguarding public in-terests.The bona fide acquisition of the ownership of the leased property does not affect the validity of the lease contract.This provision is applicable only when the person without the right to dispose of the leased property,as the lessor,transfers the ownership of the movable property in the form of instruction delivery.The change of chattel ownership under different modes of chattel delivery should be discussed separately and analyzed comprehensively in combination with the possession state of the subject matter.
