完善国有资本投资运营公司治理结构的建议——基于对淡马锡模式的分析

摘　　要：本文从淡马锡与政府的关系、董事会独立性以及淡马锡对国联企业管理三个方面,归纳淡马锡模式的公司治理结构设计的特点。在此基础上,从四个方面总结淡马锡模式的经验启示,并从外部治理和内部治理两个方面给出淡马锡模式在中国应用的建议。在建议中着重指出,在国有资本投资运营公司的公司治理结构设计上,关键是要重新调整国有资本投资运营公司与国资委的关系。This paper summarizes the characteristics of corporate governance structure of Temasek model from the relationship between Temasek and the government,the independence of the board of directors and Temasek’s management of Government-Linked Companies.On this basis,the experience of Temasek model is summarized from four aspects,and the application of Temasek model in China is proposed from two aspects of external governance and internal governance.In the suggestion,it is pointed out that the key is to readjust the relationship between the platform company and SASAC.
