摘　　要：中国特色现代企业制度是在现代公司制度一般性理论与实践基础上,发挥中国特色社会主义制度优势,以党的领导为根本前提,以经济高质量发展为核心目标,以科学的治理结构为实现形式,以中华优秀传统文化同马克思主义基本原理相结合为文化基础,由国有、民营等多种所有制企业共同形成的“产权清晰、权责明确、政企分开、管理科学”的现代企业制度。中国特色现代企业制度源于对国有企业现代企业制度的探索,并在建立社会主义基本经济制度进程中提出和不断完善,在中国式现代化进程中得以创新和系统化。立足问题导向,通过破立并举、市场化改革、制度创新,中国特色现代企业制度取得显著成效,形成多种所有制企业共同发展的市场格局,中国特色公平市场体系不断完善,以国有企业改制和民营企业建制为内核的现代企业制度体系得以建立,世界一流企业加快建设。在推进中国式现代化进程中,要进一步完善中国特色现代企业制度。需要进一步强化党的领导,促进党的领导与公司治理深度融合,加快构建能够适应社会主义基本经济制度的现代企业制度,结合企业实际精准施策,并强化制度和文化环境建设以保障中国特色现代企业制度的有序完善。The modern corporate system with Chinese characteristics(MCSCC)represents the sinicization of the modern enterprise system.It emerged from the reform of state-owned enterprises(SOEs)and has grown into an essential component of the socialist economic system with Chinese characteristics.This system meets the new requirements for innovation and development within the modern enterprise system in the context of Chinese modernization.In essence,the MCSCC is built on the general theories and practices of modern corporate systems while leveraging the advantages of the socialist system with Chinese characteristics.It is founded on the fundamental premise of the Party's leadership,with high-quality economic development as the core objective,and is realized through a scientific governance structure.Additionally,this system is supported by the integration of the excellent Chinese traditional culture with the basic principles of Marxism.It forms a modern enterprise system characterized by"clear property rights,well-defined responsibilities,separation of government and enterprise functions,and scientific management"across various ownership types,including SOEs and privateenterprises.From an evolutionary perspective,the MCSCC originated from the exploration of modern enterprise systems within SOEs and was proposed and continuously refined during the establishment of the basic socialist economic system.Over more than 4o years of development,the construction of the MCSCC has achieved remarkable success.A market structure that supports the common development of various ownership types has been established;a fair market system with Chinese characteristics has been continuously improved;and a modern enterprise system centered on the restructuring of SOEs and the institutionalization of private enterprises has been built.As a result,the development of world-class Chinese enterprises has accelerated.Adhering to the principles of simultaneous creation and elimination,market-oriented reforms,institutional innovation,and problem-oriented
