董事会构成的模糊综合评判方法

摘　　要：董事会既充当股东大会的代理人,又担当经理层的委托人,在公司治理结构中具有十分重要的地位,已经成为公司治理结构的核心。企业董事会的构成直接决定着董事会职能的有效发挥,因此选择合理的董事会构成模式,不仅能够有效地维护股东的利益,而且对企业的长远发展具有重要的战略意义。本文在对董事会构成模式及其影响因素分析的基础上,运用模糊数学理论和层次分析法,提出了选择董事会构成模式和确定董事会构成大体比例的模糊综合评判方法,为企业合理组织董事会捉供理论指导。Directorate plays an important role in corporate governanceand becomes the core of corporate governance as the agent of stockholdercongress and the principal of managers. Its structure directly determineswhether its function can be realized efficiently, so the sound structurecan not only protect the interests of the stockholders, but also be of animportant strategic implication for the long-term development of theenterprise. Based on the analysis of the directorates structure mode andeffect factors, a fuzzy comprehensive evaluation method for the selectionof its structure mode and determination of its structures general proportionis presented by applying fuzzy mathematics theory and AHP method,which will provide the enterprise with the theoretical direction ofreasonably organizing directorate.
