摘  要:随着全球新兴市场的迅速崛起,新兴市场跨国企业对发达国家企业的逆向跨国并购日益增加。但由于跨越地理空间和文化区间的影响,再加上“以弱并强”的特点,逆向跨国并购后的文化整合困难重重。本文采用单案例研究方法,选取海信并购东芝T VS的案例,深入探讨了新兴市场跨国企业逆向跨国并购后文化整合面临的情境及整合模式。研究发现:新兴市场跨国企业逆向跨国并购后整合通常面临组织遗留惯性和身份认知偏差等挑战,直接采取制度移植和规范同构的“管控同化型”文化整合模式会加剧文化冲突;而以制度重构、规范共建和理念共识为行动焦点的“融合共治型”文化整合模式,能够推动逆向跨国并购情境下从“冲突”到“融合”的文化整合过程实现。本文最终所形成的理论框架,既是对跨国并购文化整合模式理论解释边界的拓展,也是在逆向跨国并购情境下对新兴市场跨国企业独特管理模式解构的新探索与新尝试。With the profound changes in the global economic and political landscape,cross-border mergers and acquisitions are no longer an international behavior dominated solely by advanced multinational enterprises(AMNEs)from developed countries.More a nd more emergi ng ma rket mult i nat ional enter pr ises(EM NEs)are also par ticipating in inter national competition through this method and jumping into the ranks of industry leaders.From TCL's acquisition of Thomson in France to CNOOC's acquisition of Unocal,culture has become a key factor hindering the success of cross-border mergers and acquisitions integration.In reality,70%of merger and acquisition failures are attributed to the failure of cultural integration.Invalid cultural integration could lead to low organizational commitment and cooperation willingness among members,as well as adverse effects such as a decrease in the stock price of the acquiring party and a deterioration in the performance of the acquired party.Compared to AMNEs,the lack of sufficient internal and external legitimacy,as well as signif icant cultural differences between different countries,poses a more severe challenge for EMNEs in terms of cultural integration after acquiring companies from developed countries.In the context of the new fragility of globalization,the difficulty and risk of EMNEs implementing reverse cross-border mergers and acquisitions are increasing,and cultural integration is also becoming increasingly difficult.Therefore,how to carry out cultural integration after reverse cross-border mergers and acquisitions is becoming an important issue of concern in the field of international business.Cross-border mergers and acquisitions cultural integration refers to the process of two independent cultural groups coming into contact,conf licting,adapting,and resolving cultural conf licts after mergers and acquisitions.The existing literature on cultural integration models mainly follows Berry(1980)four types of cultural integration models:integration,assimilation,separation,and extin
