摘　　要：【目的/意义】以技术知识相关性为切入点,探究技术并购过程中企业知识创造模型,为强化技术并购效果提供理论指导。【方法/过程】基于对技术并购和知识创造等相关文献梳理,通过相似性技术并购和互补性技术并购对知识创造路径分析,构建技术并购过程中的知识创造模型,提出保障措施。【结果/讨论】知识重构能力是联结相似性技术并购和知识创造的核心要素;知识整合能力是联结互补性技术并购和知识创造的核心要素;高管从业经验为技术并购后更高效的知识创造提供保障;数字技术应用是技术并购推动企业知识创造的重要技术工具。【创新/局限】创新性地提出技术并购过程中的知识创造模型,分别深入分析相似性技术并购和互补性技术并购对知识创造的作用路径。但本研究为理论探索,未来需要采用定性定量相结合的方法进一步验证。【Purpose/significance】This paper investigates the knowledge creation model of enterprises in the process of technological M&A,with a focus on the correlation of technological knowledge.It aims to provide theoretical guidance for enhancing the effectiveness of technological M&A.【Method/process】Based on the literature review of technology M&A and knowledge creation,the knowledge creation model is constructed through the analysis of different knowledge creation paths in similar technology M&A and complementary technology M&A,and proposes effective guarantee measures.【Result/conclusion】Knowledge reconstruction capability is a fundamental element that connects the similar technology M&A and knowledge creation,and knowledge integration capability is a fundamental element that connects the complementary technology M&A and knowledge creation.Senior management experience ensures more efficient knowledge creation following technology M&A,while digital technology application plays a crucial role as a technical tool in promoting knowledge creation.【Innovation/limitation】Innovatively proposes a knowledge creation model of enterprises in the process of technological M&A,and conducts a comprehensive analysis of the distinct paths of similar technology M&A and complementary technology M&A on knowledge creation.However,this paper is a theoretical exploration,which necessitates further validation through qualitative and quantitative methods in future research.
