摘　　要：明确公司董事的权利与义务对于正常发挥董事(会)的作用,维护公司整体利益有重要意义。而我国目前的《公司法》对此规定存有许多不足,尚需规范和完善,现试从董事的职权及其控制以及权利、义务、责任配置方面的完善作一探析。Making clear about the directrs′right duty and responsibility is of great importance for the board of directors to play its part properly and for maintaining the overall interests of the corporation.But our current″Firm Law″bears many inadequate definitions leaving a room for further standardization and perfection.The essay supplies an exploration on the directors′right and its controling and on the perfection of the disposition of right duty and responsibility
