摘　　要：以建立现代企业制度为目标的我国国有企业改革,必须在建立企业法人产权制度的同时,建立起有效的经营者行为激励与约束机制,这是防止经营权侵犯所有权,防止国有资产流失,提高企业经营效率,确保国有资产保值增值的关键。The reform of our state enterprise, whose goal is to establish the modern enterprise system, has to establish the effective encouraging and restrictive mechanism for manager's action, while establishing corporate property right system of enterprise. This is very important to prevent the power of management from infringing the ownership , prevent the state property from running off, raise the managing efficiency of enterprise and ensure the value of the state property to be kept stable and added.
