摘　　要：国有监理企业改制模式有 4种类型。比较这 4种类型后 ,第 4种类型———国有股与职工股相结合的改制模式较适用于目前形势下的国有监理公司改制。国有监理公司的职工持股比例可按 6 0 %～ 70 %考虑。股权设置可采取以下做法 :在册人数少于 5 0人的公司 ,国有股 1～ 3个 ,自然人股东 ,预留一定比例的集体股 (预留股 ) ;在册人数多于5 0人的公司 ,国有股 1～ 3个 ,管理股 (3～ 7人 ) ,技术股 (30人以下 ) 。There are four kinds of system reform mode of state-owned supervision companies. After their comparison the forth kind, combination of state-owned stock with the staff stock is relatively suitable for the current situation of the system reform of the state-owned supervision companies. The stock holding proportion of the staff in the companies can be considered in basic of 60～70%. The following measures can be taken for the arrangement of the stock right: for the company with registered staff number less than 50 the state-owned stock is 1～3, natural person is the stockholder with preserved collective stock to a certain proportion (preserved stock); for the company with registered staff number more than 50 the state-owned stock is 1～3, management stock (3～7 persons), technical stock (less than 30 persons) and staff stock holding board.
