摘　　要：在私营企业内部治理结构设计中 ,最重要的是解决控制权如何在企业主、家族成员和非家族经理人员之间进行有效配置的问题 ,即如何通过设计一套有效的激励 -约束机制 。In governance structure design of private enterprise, it is most important to solve efficient allocation of control right among owner, family member and non-family managers. It is necessary to design an efficient incentive-restraint mechanism to furthest reduce agent cost between owner and non-family managers.
