摘　　要：文章首先分析了中国东部民营中小企业的制度缺陷和发展障碍,接着着重阐述了有限合伙对这种制度缺陷和发展障碍的解决之道,然后分析了我国进行有限合伙立法的条件,最后在此基础上对立法的模式选择和制度设计做了较为完整的阐发。This paper explains how limited partnership can solve the defects in systems and obstacles that exist during the development of small & middle-sized individual-owned enterprises of East China.Moreover,we analyze the conditions of the legislation to the limited partnership in our country.And on the basis of such analysis,we elaborate the mode that China should take and the articles that the legislature should adopt in L.P.Law.
