职业院校校企合作法人型公司合法成立实务问题研究

摘　　要：目前校企合作成立法人型公司需要取得行政部门的审批同意文件,同时需确定股东资产范围;需要有合法的企业名称,达成股东协议和公司章程;需要严格区分该法人型公司的资产与股东自身的资产;职业院校人员担任该公司管理人员的,亦须遵守公司章程,合法地履行董事、经理、监事的职权。Nowadays, setting up a legally independent company by school-enterprise cooperation needs the examination and approval from the administrative departments. At the same time, the com- pany should determine its shareholders＂ asset range. It needs the legal name, shareholders agreements and articles of corporations and it also needs the strict discrimination of the assets between the legally independent company and the shareholders themselves. The staff in the vocational colleges who hold the post of managing in the companies should comply with the articles of companies and fulfill the functions of directors, managers and supervisors legally.
