摘　　要：近几年来 ,随着博弈论、信息经济学等工具的引入 ,企业理论取得了快速的发展 ,但关于企业本质的认识 ,学术界仍存在不同的看法。对比分析当前分别以杨瑞龙和张维迎为代表的两种企业理论 ,杨文《专用性、专有性与企业制度》中存在着关于企业本质认识的误区。In recent years, business theory has been developed very quickly with the introduction of game theory and information economic. But there is no common understanding of the nature of business in academic circles. A comparative study of two business theories, which are represented by Yang Shui long and Zhang Wei ying respectively, shows that there are some misunderstandings concerning the nature of business in Yang's article.
