共同治理逻辑与公有企业经营者的选聘

摘　　要：我国公有企业经营者主要由政府主管部门任命 ,但是由于公有企业所有制主体的“虚置”,从而造成企业剩余索取权和控制权的不一致 ,这种方式不能保证只有具有企业家能力的人占据经营者位置 ,也不能体现公有企业职工的主人翁地位 ,并使企业内部监督失效 ,该文提出共同治理逻辑和由企业职工参与经营者的选聘 。The managers of the public enterprises are mainly employed by the relevant department of government. But the owner of public enterprise is 'nominal', the right of residual claim of public enterprise does not accord with its right of control. The method of employing managers can neither assure that only the person who possesses marketing ability takes the manager's position, nor can it embody the master's position of the staff, it causes internal supervision ineffective. The thesis puts forward the common governance and the employment of the managers in which the workers participate is the key to solve effeitively the above mentioned problems.
