摘 要:就理解竞业禁止协议的制度价值及承认其存在之必要性,德国竞业禁止的发展与对其明文规定的做法,实在值得我国及他国的借鉴,因为德国的立法例及理论见解可使雇佣双方所持权利、义务明确化,有效地让双方所处地位均等,并降低冲突的发生。换言之,就离职竞业禁止的有效性及合理性判断标准,应当通过法律明文规定的方式加以明确和细化,使雇佣双方对彼此间所拥有的权利和义务都一清二楚。This paper argues that, to understand the value system of the non - compete agreement and recognize the importance of its. The practice of Germany non - compete system development and the explicit, is indeed worthy of our country and other countries to learning and imitation. Because of Germany's legislative and theoretical insights can make the employment of both the rights and obligations of the explicit, effective to both sides of the equal status, and reduce the occurrence of conflict. In other words, leaving the validity and the rationality criterion of pro-hibition, should be through the law to be clear and detailed, so that both sides of the employment have a very understanding of the rights and obligations of each.
