摘 要:董事会和高管团队是企业两大核心决策主体,以往孤立地研究董事会和高管团队很难得出稳定的结论,研究的突破点是把两者统一到高层梯队的框架下,从团队过程的视角,分别研究董事会和高管团队的内部互动过程,以及董事会和高管团队间的互动过程,探讨团队互动过程中影响高层梯队绩效的权变因素及其变化对高层梯队治理绩效的影响、高层梯队互动过程控制与企业发展战略和组织产出间动态演进的内在机理关系。Both the board of directors and top management team were the core decision - making bodies in companies. It was difficult to draw the stable conclusions when we studied the board of directors and top management team respectively in the past. The breakthrough point of study was to unify them into the same framework of upper echelons from the per- spective of team process, and study the internal interaction process of the board of director and top management teams re- spectively, as well as the interaction process between the board of directors and top management team, in order to find out the contingent factors effecting upper echelons performance during team process. How would these factors' changes impact on upper echelons' governance performance? The paper discussed the intrinsic dynamic evolution mechanism between upper echelons' interaction process control, enterprise' s development strategy and organization output.
